Terms of Use for Tukhulu.com effective November 21st, 2023.
1. Acceptance of Terms By accessing or using https://tukhulu.com and/or Tukhulu's digital marketing services a Yehelo LLC , you ("User" or "Client") hereby agree to be bound by these Terms of Use ("Terms"), as amended from time to time. If you do not agree to these Terms, you must cease use of the services immediately.
2. Scope of Services Tukhulu provides various digital marketing services, including but not limited to Search Engine Optimization (SEO), SMS Marketing, Email Marketing, Data Analytics, Web Analytics, and Digital Business Card services ("Services"). These Services are subject to change at Tukhulu's discretion.
3. User Obligations Users agree to comply with all applicable laws, regulations, and guidelines in the use of Tukhulu's Services. Users are responsible for providing accurate and lawful information and materials necessary for Tukhulu to perform the Services.
4. Intellectual Property Rights All intellectual property, including trademarks, service marks, trade names, logos, content, and materials provided by Tukhulu are owned by or licensed to Tukhulu. Unauthorized use of such intellectual property may violate copyright, trademark, and other laws.
5. Payment and Fees Users agree to pay all fees associated with the Services as per the agreed-upon payment terms in the service contract. Failure to make timely payments may result in the suspension or termination of Services.
6. Confidential Information Tukhulu and the User agree to maintain the confidentiality of all confidential information disclosed during the provision of Services. This clause shall survive the termination of the agreement.
7. Disclaimer of Warranties Tukhulu provides Services on an "as is" and "as available" basis. Tukhulu expressly disclaims all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability In no event shall Tukhulu be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, arising out of or in connection with these Terms or the Services.
9. Indemnity The User agrees to indemnify, defend, and hold harmless Tukhulu, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers to the Service from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to the Service (including negligent or wrongful conduct) by the User or any other person accessing the Service using the User's account.
10. Termination Either party may terminate the service agreement as outlined in the individual contract or service agreement. Termination shall not affect any rights or obligations accrued prior to the termination date.
11. Modification of Terms Tukhulu reserves the right to modify these Terms at any time. Continued use of the Services following any such modifications constitutes acceptance of the new Terms.
12. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tukhulu operates. Any disputes arising from these Terms shall be resolved exclusively in the courts of that jurisdiction.
13. Severability If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
14. Entire Agreement These Terms constitute the entire agreement between the parties regarding Tukhulu's Services and supersede all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter.
